This Website and its content are protected under Canadian copyright law. Unless permitted by Canadian copyright law, no part of this Website or its content may be copied, published, distributed, downloaded, stored, transmitted, or converted in any form, whether electronic or otherwise, without the prior written consent of the copyright owner.

Availability and Accuracy of Information

In the provision of the Service and to enhance accuracy, we regularly update the grant and funding information presented in the Service.

We cannot and do not guarantee the accuracy or completeness of any grant and funding information and encourage direct verification of all information from the funding organization directly. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice. 

We may experience delays in updating information on the Service.

Accounts and Subscriptions

When registering a subscription account, you are required to provide accurate, complete, and up-to-date information at all times. Failure to do so violates our Terms and may lead to the immediate termination of your account. 

By subscribing to this Service on behalf of an organization, you confirm that you are authorized to represent the organization and have the legal authority to enter into binding agreements and commitments under the Terms of Use on its behalf.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. 

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. 

When subscribing to the SmartGrant Service, you may be required to provide certain information related to your subscription purchase, such as your credit card number, its expiration date, and your billing address.

You affirm and guarantee that:

1. you are legally authorized to use any credit card(s) or other payment method(s) for any purchase; and 
2. the information you provide to us is accurate, complete, and truthful.

By submitting this information, you authorize us to share it with third parties to facilitate completion of the Purchase.

We reserve the right to refuse or cancel your order if we suspect fraud, unauthorized activity, or an illegal transaction. We are not responsible or liable for any failure to complete the Purchase or any resulting loss or damage you may incur.

Subscription Auto-Renewal Terms

Your subscription shall automatically renew on an annual basis unless and until it is cancelled. By entering into this subscription agreement, you hereby authorize us to retain your payment method on file and to initiate recurring annual charges to such payment method on the anniversary date of your subscription. Charges shall be made at the then-current subscription rate, together with any applicable taxes, including GST and any applicable provincial taxes, until such time as you cancel the subscription.

You will receive an email notice at least one month before your subscription renewal date, giving you the opportunity to cancel the auto-renewal if you choose.

If your primary payment method fails during auto-renewal, we will notify you by email and ask you to update your credit card or provide an alternative payment method. If payment is not received, your subscription may be suspended, and access to certain features or services could be temporarily lost during that period.

Intellectual Property

The Service, along with all its content—including but not limited to text, images, graphics, and code—is the exclusive property of SmartGrant and is protected by copyright, trademark, database, and other intellectual property laws. You may view, copy, download, or print portions of the material available on the Service solely for personal, non-commercial use. Any other use is strictly prohibited and may constitute a violation of copyright, trademark, or other legal protections. These Terms do not grant you any rights to use the trademarks of SmartGrant Ltd. or its affiliates. Additionally, you agree not to modify, remove, or alter any proprietary notices on materials downloaded from the Service.

Links to Third-Party Websites

The Service may include links to third-party websites or services that are not owned or operated by SmartGrant.

SmartGrant is not responsible for the content, privacy policies, or practices of any third-party websites or services and has no control over them. You acknowledge and agree that SmartGrant bears no liability, whether direct or indirect, for any damage or loss arising from or allegedly caused by your use of, or reliance on, any content, goods, or services available through such websites or services.

Termination

We reserve the right to immediately suspend or terminate your access to our Service, with or without prior notice or liability, for any reason, including but not limited to a violation of the Terms.

All provisions of these Terms shall remain in effect following termination, including but not limited to ownership rights, warranty disclaimers, indemnification, and liability limitations.

Upon termination, your right to access the Service will end immediately. To close your account, simply stop using the Service.

Indemnification

You agree to indemnify, defend, and hold harmless SmartGrant, along with its principals, officers, directors, representatives, employees, contractors, licensors, licensees, suppliers, and agents, against any claims, damages, losses, liabilities, costs, obligations, actions, or demands.

These include but are not limited to:

1. legal and accounting fees incurred due to your use of the Service;
2. your violation of any of these Terms;
3. any content you input, post or upload to the Service; and
4. any actions related to your account. This also covers any negligent or unlawful behavior by you or anyone accessing the Service through your account, whether such access was obtained fraudulently or illegally.

Limitation of Liability

SmartGrant, along with its principals, directors, employees, partners, agents, contractors, suppliers, and affiliates, shall not be held liable for any direct, indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, economic loss, damage to electronic media or data, loss of goodwill, or other intangible losses arising from:

1. Your access to or use of the Service;
2. Your inability to access or use the Service;
3. Any actions or content of third parties related to the Service;
4. Any content obtained from or through the Service; and
5. Unauthorized access, use, or alteration of your transmissions or content.

SmartGrant provides no guarantees, representations, or warranties of any kind regarding the website and its associated content. To the fullest extent permitted by law, all purported warranties, terms, and conditions are expressly disclaimed. Your use of the Service is entirely at your own risk. The Service is offered on an “as is” and “as available” basis, without any expressed or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Use of the Service does not guarantee eligibility for any grant programs in question; or success/acceptance for any submitted application, as the result of information obtained within the Service.

SmartGrant, along with its subsidiaries, affiliates, and licensors, makes no guarantees that:

1. the Service will operate without interruption, be secure, or be accessible at any specific time or location;
2. any errors or defects will be corrected;
3. the Service will be free from viruses or other harmful elements; or
4. the results obtained from using the Service will meet your expectations.

If you violate any of these Terms and SmartGrant chooses not to take immediate action or decides not to act at all, it does not waive its rights. SmartGrant retains the right to enforce these Terms and seek remedies at a later time or in any other instance of non-compliance. Additionally, SmartGrant is not liable for any alleged breach of these Terms resulting from circumstances beyond its control. Furthermore, no third party has the right to enforce any provisions of these Terms.

You are not permitted to assign, sub-license, or transfer any of your rights under these Terms.

Exclusions

Some jurisdictions prohibit the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, meaning the above limitations may not apply to you. Additionally, provincial laws in Canada may govern certain products and services provided.

Jurisdiction

These Terms shall be governed, interpreted, and enforced in accordance with the laws of the Province of British Columbia and applicable Canadian laws.

If a court of competent jurisdiction finds any provision of these Terms to be invalid or unenforceable, the remaining provisions will continue to be in full effect. These Terms represent the entire agreement between both parties concerning the Service, replacing any prior agreements, whether oral or written.

Changes

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is deemed material, we will make reasonable efforts to provide at least 30 days’ notice before the new terms take effect. The determination of what constitutes a material change rests solely with us.

By accessing or using our Service after the revised terms take effect, you acknowledge and agree to be bound by them. If you do not accept the updated terms, either in full or in part, please discontinue use of the website and Service.
